Encorporated Group Membership Terms of Service Agreement

 

1. Introduction
Welcome to the Encorporated Group Membership Program ("Membership"), operated by Encorporated Group INC p/k/a ENC Publishing Group or Encorporated Publishing Group ("Company", "we", or "us"). By enrolling in this Membership, you agree to the terms and conditions outlined in this Terms of Service Agreement ("Agreement").

This Agreement applies exclusively to members enrolled in the Emerging, Major, or Legacy Membership tiers.

2. Membership Options

Emerging Membership ($150 One-Time Fee)

  • Song registration with U.S. collection societies (ASCAP, BMI, MLC, Music Reports)

  • Basic metadata setup

  • U.S.-only royalty collection (performance & mechanical)

  • Access to client support portal

  • Support provided by ENC’s Artist Relations Department

Major Membership ($250 One-Time Fee)

  • All Emerging services plus:

  • International registration through select foreign collection societies (e.g., SOCAN, PRS, Audiam)

  • Catalog management and metadata optimization

  • Access to global royalty collection systems

Legacy Membership ($500 One-Time Fee)

  • All Major services plus:

  • Lyric distribution (Musixmatch, LyricFind)

  • Retroactive royalty collection (up to 10 songs)

  • Billboard and Mediabase registration

  • Priority royalty management and metadata servicing

  • Direct onboarding and administrative support from Artist Relations

3. Collection & Payment Terms

  • ENC collects a 25% administrative royalty fee on all publishing income under each membership tier.

  • Royalties are paid quarterly in alignment with industry standards (approximately 45-90 days after each quarter ends).

  • New members may experience a 3–6 month delay before first payments depending on data delivery and registration processing by third-party societies.

  • Performance royalties may be paid directly to the member’s PRO account (ASCAP/BMI). Mechanical and international royalties are routed through ENC and paid to the member accordingly.

  • ENC is not responsible for late reporting or errors caused by outside societies (e.g., The MLC, Audiam, PRS).

4. Service Limitations & Exclusions

  • Memberships are for publishing administration only and do not include A&R support, studio sessions, creative development, or sync pitching.

  • ENC does not guarantee placements, income, or exposure.

  • Members are solely responsible for accurate song ownership, metadata, and split information.

  • No refunds will be issued once payment is completed.

5. Term, Renewal & Retention

  • Each membership has a minimum 12-month commitment from the date of enrollment.

  • Memberships automatically renew annually unless canceled in writing at least 30 days before the renewal date.

  • If a member cancels after the initial term, ENC retains administrative rights to collect royalties for an additional 12 months following cancellation (retention period), to allow delayed payments to be collected and disbursed.

  • ENC reserves the right to terminate any membership due to violation of this Agreement, abuse of services, or illegal activity.

6. Disclaimers & Liability Limitations

  • ENC makes no guarantees regarding income, exposure, or placements.

  • Members acknowledge that royalties are dependent on third-party reporting, accuracy of metadata, and streaming performance.

  • ENC is not liable for delayed or missing royalties from DSPs, PROs, or foreign societies.

  • ENC does not provide legal, financial, or tax advice.

7. Governing Law & Updates

  • This Agreement is governed by the laws of the State of Georgia, with jurisdiction in Fulton County.

  • We may update these Terms periodically. Continued use of ENC services constitutes acceptance of the latest version.

  • This document reflects the complete understanding between the Member and Encorporated Group, Inc.
